Please read these Terms and Conditions carefully before using the Closr platform. By accessing or using Closr, you agree to be bound by these terms. If you do not agree, please do not use the platform.

1. About Closr

Closr is operated by Closr (Pty) Ltd, a company registered in South Africa. The platform connects businesses seeking sales support with independent sales professionals (closers) on a commission-only basis. Closr acts as a marketplace intermediary and is not a party to any sales arrangement between businesses and closers.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use Closr. By registering, you confirm that all information you provide is accurate, current, and complete. Closr reserves the right to suspend or terminate accounts where eligibility requirements are not met.

3. User accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Closr immediately of any unauthorised use of your account. Closr is not liable for any loss or damage arising from your failure to protect your account.

4. Businesses

Businesses using Closr agree to provide accurate information about their opportunities, including commission structures, deal sizes, and any relevant terms. Businesses are solely responsible for the accuracy of their listings and for honouring agreed commission payments to closers upon successful deal completion. Closr does not guarantee the quality or availability of closers.

5. Sales professionals (closers)

Closers using Closr are independent contractors, not employees of Closr or of any business on the platform. Closers are responsible for their own tax obligations, compliance with applicable laws, and the quality of their sales activities. Closr does not guarantee the availability of opportunities or the payment of commissions by businesses.

6. Commission and payments

All commission arrangements are agreed directly between businesses and closers. Closr is not responsible for the collection, disbursement, or enforcement of commission payments. Any disputes regarding commissions are between the business and the closer. Closr may introduce payment facilitation features in future, subject to separate terms.

7. Prohibited conduct

You agree not to use Closr to post false, misleading, or fraudulent listings; solicit or engage in off-platform arrangements to circumvent Closr; harass, threaten, or harm other users; violate any applicable laws or regulations; or attempt to gain unauthorised access to any part of the platform. Closr reserves the right to remove content and suspend accounts that violate these terms.

8. Intellectual property

All content, branding, and technology on the Closr platform is owned by or licensed to Closr (Pty) Ltd. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without prior written consent. You retain ownership of content you submit, but grant Closr a licence to display and use it in connection with operating the platform.

9. Limitation of liability

To the maximum extent permitted by law, Closr is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including lost profits, lost commissions, or data loss. Closr's total liability to you for any claim shall not exceed the amount you have paid to Closr in the three months preceding the claim.

10. Disclaimers

Closr is provided on an as-is and as-available basis. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We make no representations about the suitability, reliability, or accuracy of any content on the platform.

11. Termination

Closr may suspend or terminate your access to the platform at any time, with or without notice, if you breach these terms or for any other reason at our discretion. You may close your account at any time by contacting us. Termination does not affect any rights or obligations that arose before termination.

12. Governing law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of South Africa.

13. Changes to these terms

Closr may update these Terms and Conditions from time to time. We will notify you of material changes by posting the updated terms on our website with a revised date. Your continued use of the platform after changes are posted constitutes your acceptance of the updated terms.
